Nexaflow provides AI engineering, automation, integration and cloud-deployment services. The exact scope of any engagement is defined in a separate written Statement of Work (SOW) or Master Services Agreement (MSA).
Marketing pages, case studies and any approximate timings shown on this website are illustrative and not contractual commitments. The binding scope is in the SOW.
Fees are agreed in writing per engagement. Standard payment terms are 50% on kickoff and 50% on delivery for fixed-scope work, or monthly in advance for retainers. Invoices are due within 14 days unless agreed otherwise.
Late payment may incur interest at the lower of 1.5% per month or the maximum permitted by law, and may pause active work until cured.
On full payment for the relevant deliverable, you own the work product we’ve developed specifically for you — code, configurations, documentation. We retain ownership of our pre-existing tools, libraries, methodologies and any general know-how.
Open-source dependencies remain governed by their respective licenses. Third-party services and models you use through the system remain governed by their terms.
Information shared in the course of an engagement is treated as confidential and used only to deliver the agreed work. Confidentiality survives termination indefinitely for trade secrets and for five years for other confidential information.
We may, with your written approval, reference the engagement publicly in marketing materials. We will not disclose any information you have marked as confidential without your written consent.
We warrant that services will be performed with reasonable care and skill, by suitably qualified people. We do not warrant that AI outputs will be free of error, that systems will be uninterrupted, or that results meet any specific business outcome unless explicitly agreed in the SOW.
You are responsible for evaluating AI outputs before relying on them for decisions of consequence — particularly in regulated domains.
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential or punitive damages, or loss of profits, revenue or data, however caused.
Each party’s total aggregate liability under any engagement is capped at the fees paid (or payable) for the relevant SOW in the twelve months preceding the claim.
These limits do not apply to: liability for death or personal injury caused by negligence; fraud; willful misconduct; breach of confidentiality; or any liability that cannot be excluded by law.
Either party may terminate an engagement with 30 days’ written notice. On termination, you pay for work completed up to the termination date and we provide a reasonable handover of materials.
Either party may terminate immediately if the other party materially breaches and fails to cure within 14 days of written notice, or becomes insolvent.
Systems we build often integrate with third-party services (AWS, GCP, OpenAI, Anthropic, Salesforce, HubSpot and others). Your use of those services is governed by their own terms, and we are not responsible for their availability, performance or data practices.
These terms are governed by the laws of the jurisdiction stated in your engagement SOW. Disputes will first be addressed in good faith between authorized representatives of both parties before any formal proceedings.
We may update these terms occasionally. The latest version is always posted at this URL. Material changes will be highlighted at the top of the page.
